Corporate, mergers and acquisitions 

Advising the shareholders of Auckland Radiology on the sale of their business to Infratil and the shareholders of Bay Radiology on the sale of their business (also to Infratil).

Advising the shareholders of Habit Health (including New Zealand Equity Partners) on the sale of Habit to UK-based private equity firm, Livingbridge. Subsequently advising Livingbridge on Habit’s acquisition of Southern Rehab and EAP Services.

Advising the shareholders of Hamilton Radiology on its sale to Australia’s largest radiology business (IMed).

Commercial and IP

Acting for Brandon Capital, a seed and capital venture investor focusing in New Zealand on the animal health and life science sector. Assisting with drafting and negotiating subscription and shareholding arrangements and licensing arrangements for the relevant technology.

Assisting medical and pharmaceutical companies with all stages of the IP lifecycle including development, protection, transfer, enforcement, and commercialisation.

Advising life sciences clients on licensing arrangements, research agreements and commercialisation of new technology. Assisting clients in understanding their contractual needs when working with suppliers for the development of new products.

Advising an Australian medical research foundation on the laws governing the collection of personal information from New Zealand study participants (including for Māori data sovereignty issues).

Advising multinational pharmaceutical companies on product trial development and conduct in New Zealand. 

Advising a range of clients on freedom to operate assessments for new technology and products.  

Regulatory 

Assisting various clients to make submissions on the Therapeutic Products Bill, which aimed to replace and modernise the regulatory arrangements for medicines, and new regulatory frameworks for medical devices, as well as cell, gene and tissue therapies.

Assisting a global biopharma company to make a successful complaint to the Code of Practice Standing Committee about a competitor’s use of promotional material at an event for healthcare professionals, in breach of the Medicines Act 1981 and the Medicines New Zealand Code of Practice 2019.  

Advising a global ophthalmic lens maker on the laws, regulations and standards concerning the supply and dispensing of ophthalmological products in New Zealand. 

Advising a leading dental alignment manufacturer on various questions relating to the regulatory approval, registration, importation, labelling and marketing of new products in New Zealand. 

Advising various clients on the registration of medicines and medical devices in New Zealand.
